The Board of Directors of CDW Holding Limited ("the Company") wishes to announce that at the Annual General Meeting ("AGM") of the Company held on 28 April 2005, all resolutions relating to matters as set out in the Notice of AGM were duly passed.

Mr Koh Kuek Chiang who was re-elected a director at the AGM will remain as a member of the Audit Committee. Mr Koh is considered non-independent pursuant to Rule 704(8) of the Listing Manual of the Singapore Exchange Securities Trading Limited.

The initial public offering of the Company's shares was sponsored by DBS Bank Ltd.
